These Terms are the contract between ShopSynq AI LLC and auto-repair shops that use the platform. You own your data and can export it as a ZIP at any time. Plans are monthly or annual (annual saves ~15%), starting after a 7-day free trial that requires a card. Subscriptions auto-renew until canceled. The service is provided “as is,” our liability is capped, and Ohio law governs.
Subject to these Terms and payment of applicable fees, ShopSynq grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your internal business operations. You may not resell, reverse engineer, build a competing product, circumvent security measures, or use the Platform in violation of any law.
You must provide accurate registration information and are responsible for all activity under your account. You must be at least 18 years old and authorized to bind your business to these Terms.
Solo ($79/month or $806/year), Shop ($149/month or $1,520/year), and Pro ($249/month) for auto repair shops, plus Solo Marine ($90/month) and Marina ($259/month) for marine service. Annual plans save ~15%. Enterprise pricing is custom.
New accounts may receive a 7-day free trial. A valid payment method is required. Unless you cancel before the trial ends, your subscription automatically begins.
Subscriptions auto-renew each cycle at the then-current price until canceled. Pricing changes take effect on your next renewal.
Cancel anytime through your account or Stripe portal. You retain access through the end of the paid period. Fees already paid are non-refundable except where required by law.
Payments are processed by Stripe. ShopSynq does not store full payment-card numbers.
We may offer referral rewards with no cash value, subject to change at any time.
You own all Customer Data. You grant ShopSynq a license to host and process Customer Data solely to provide and improve the Service. You represent you have all rights required to collect and authorize processing of Vehicle Owner data you enter into the Platform.
You agree not to use the Platform to upload unlawful or malicious content, transmit malware, harass others, attempt unauthorized access, or scrape data beyond your own account.
ShopSynq and KD Supply, Limited own all right, title, and interest in the Platform, excluding Customer Data. Feedback you provide grants ShopSynq a perpetual, royalty-free license to use it.
Each party will protect the other's confidential information with reasonable care and use it only to perform under these Terms.
The Platform may integrate with third-party services. Your use of those services is governed by their own terms.
THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHOPSYNQ AND KD SUPPLY, LIMITED WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. OUR TOTAL AGGREGATE LIABILITY WILL NOT EXCEED THE GREATER OF (A) AMOUNTS YOU PAID IN THE TWELVE MONTHS BEFORE THE CLAIM, OR (B) $100.
You will defend, indemnify, and hold harmless ShopSynq, KD Supply, Limited, and their officers and employees from claims arising out of your Customer Data, your failure to obtain required consents, or your violation of these Terms.
Either party may terminate for material breach not cured within 30 days. Following termination, we retain your Customer Data for 30 days to allow export, then may delete or de-identify it.
We may update these Terms with reasonable notice for material changes. Continued use means acceptance.
These Terms are governed by the laws of the State of Ohio. The exclusive venue for disputes is the state and federal courts located in Ohio.
Nothing in these Terms waives any non-waivable right under the Ohio Consumer Sales Practices Act or other applicable consumer-protection law.
These Terms, with the Privacy Policy and any order or beta agreement, are the entire agreement. We may assign to an affiliate or in connection with a merger; you may not assign without our consent.
